Preliminary
These terms and conditions (the “Terms and Conditions”) describe the conditions of use of the services offered by HEURALAI CORP, domiciled in the British Virgin Islands, e-mail [email protected], (hereinafter “Heural”) at its website www.heural.com, or in its mobile application (both hereinafter the “Heural Platform”).
Your registration as a User (as defined below) and/or the use of the Heural Platform by you or by persons authorized by you imports the express, full and unreserved acceptance of each and every one of the clauses of the Terms and Conditions in the version published by Heural at the time the User uses the Heural Platform and other information provided. If you do not agree with the Terms and Conditions, you must refrain from using the Heural Platform.
These Terms and Conditions apply to the use of the Heural Platform. It is important that you have read and understood these Terms and Conditions together with our Privacy Policy before using the Heural Platform. If you have difficulty understanding any aspect of these documents, please contact us at [email protected] and we will explain what it means for you.
Heural may modify the Terms and Conditions at any time by previously communicating said modifications to the Users. The new versions of the Terms and Conditions will be notified by: (i) publication of the latest updated and current version at www.heural.com/terminosycondiciones, and in the mobile application and/or (ii) by email addressed to the User.
1. Heural services
The innovation provided by Heural makes available to the user, (hereinafter the “Users”) the development of a software for the Personal Health Record, focused on the patient and with dynamic analysis of the patient’s lifestyle (hereinafter the ” Service”).

2. Account registration
In order for you to use the Service, you must register an account. For these purposes, you must complete all the forms that Heural requires with true and updated information. Heural may reject any registration request without the need to state a cause and without generating liability of any kind.
Each User will open a single account, without prejudice to the enabling of various functionalities that facilitate the provision of the Service, according to the characteristics of the User. Heural may adopt the measures it deems appropriate, and which include the suspension of access to the account or its cancellation, to avoid the multiplicity of account registrations in the name of the same user.
Users declare and guarantee that the information they will provide will be true and current. Users also undertake to keep their registration data updated at all times.
The falsity of the data provided will motivate the immediate cancellation of your registration.
Your account, like the other rights granted to Users in these Terms and Conditions, cannot be transferred or assigned for free or for a fee.
We are hereby granted a perpetual, worldwide, transferable and sub-licensable right to use the data, which we have anonymized in accordance with applicable data protection law, in any manner, whether currently known or unknown. You acknowledge and agree that we own all right, title and interest in and to any data derived by us from such anonymized data.
3. Capacity and representation of Users
Users declare and guarantee to Heural that they are capable of entering into both the contract originated with the acceptance of these Terms and Conditions, as well as any other agreement that is entered into with Heural.
4. Termination of Services. Suspension or termination of accounts
Heural may suspend or cancel a User registration with or without expression of cause. No liability will follow for Heural.
5. Commissions for the use of the Service
Users will pay Heural a fee for the use of the Services as detailed in our fee schedule (the “Fees”). Although at the moment the use of the platform is free, Heural will incorporate the collection of fees depending on the service used.
Users acknowledge that Heural may instruct the corresponding debits for the perception of Tariffs in arrears.
6. Data privacy. Responsibility for compliance with Personal Data Protection
Heural will receive, process, collect and sometimes reveal User information necessary for the proper functioning of the Service.
Consequently, Heural will be considered responsible for the database collected from its Users. The data provided by you may be stored on servers or cloud services provided by Amazon abroad.
No User will be obliged to share personal information. However, not having it could prevent the use of the Service.
The data being processed will not be used for purposes other than or incompatible with those for which they were obtained and will be destroyed when they are no longer necessary or relevant to the purposes for which they were collected.
Users acknowledge that, if required and in order to contribute to the security and authenticity of the information provided, they will share their geolocation when using the Service and that Heural may use cookies or other technologies to track their behavior on their IP.
Heural will adopt all the measures required by the authorities for the custody of the confidentiality of the information.
Users are informed that the owner of the personal data has the power to exercise the right of access to them free of charge at intervals of no less than six months, unless a legitimate interest to that effect is proven.
Users may make inquiries or send requests regarding their personal information by postal mail addressed to the address indicated in the Preliminary section.
7. Acknowledgments regarding the use of the Service
The Service is the exclusive property of Heural. Users will have a limited right of use over it, which is personal, revocable and non-transferable.
Users acknowledge that the Service, including the code used by the Heural Platform, are Heural’s trade secrets. Users must refrain from modifying or creating other works based on the Service provided, as well as from applying reverse engineering techniques on it to decompile, decipher or consult the source code of the software developed by or at the behest of Heural for the operation of the Service.
Heural cannot ensure uninterrupted access and use of the Service. Users acknowledge that their use could be interrupted due to internet failures or other difficulties beyond the control of Heural and that Heural will not be held liable for this.
8. Other Intellectual Property Statements
8.1. Your right to use the name “Heural” or any trademark, logo, domain name or other characteristic mark of any kind is limited to the scope defined in these Terms and Conditions.
You agree to refrain from the following:
I. not to replicate or copy the Heural Platform, whether in whole or in part.
II. not to sell or make available to anyone the Heural Platform, in whole or in part.
III. not to modify the Heural Platform, in whole or in part, in any way.
IV. you will not attempt to discover or access the source code of the Heural Platform, in whole or in part, unless it has been expressly published by us and released into the public domain.
8.2. If you provide feedback, ideas or suggestions, or respond to surveys in connection with our Service (“Feedback”), you acknowledge that the Feedback is non-confidential and that you grant us a worldwide, non-exclusive license, irrevocable, perpetual, royalty-free and unlimited to use your Feedback in any way, for any purpose, and through any media or technology now known or unknown, whether in whole or in part, and whether modified or not. We will always use your comments in compliance with these Terms and Conditions, our Privacy Policy and any other applicable laws.
9. Use of digital media
The operations whose celebration is facilitated by the Service provided by Heural will be recognized as valid by the Users, whether those have been confirmed by them through acceptance with a click, subscription to a digital form or similar means, as well as the use electronic or digital signature of a document.
Users acknowledge that Heural operates under high security standards, the scope of which they understand and have assessed when requesting the creation of their accounts.
10. notifications
Notifications to Users may be sent by email or through messages available for consultation by Users on the Heural Platform.
11. Addresses
Heural constitutes domicile for the purpose of receiving any notification that is made in relation to the contract that is entered into with a User with the latter’s acceptance of these Terms and Conditions, as indicated in the preliminary section. That address may be changed from time to time by Heural without requiring notice to Users other than the publication of the new address in the most up-to-date Terms and Conditions.
Users are domiciled at the address indicated when creating their account or updating their data. All judicial and extrajudicial notifications that should be sent to you will be valid there.
12. Jurisdiction and applicable law
The relationship between Users and Heural will be governed by the law of the British Virgin Islands. Any controversy related to its interpretation, execution or validity (among others) will be governed by and construed in accordance with the laws of the British Virgin Islands.
